Stinson LLP is seeking an Associate with four to five years of experience to join the Corporate Finance Division in our growing Dallas office, as well as one of the following offices: Kansas City, Mo., Minneapolis or St. Louis.
Qualifications Required: Active Texas, Missouri or Minnesota attorney license required. Qualified candidates will have four to five years of relevant experience (as described below), possess excellent academic credentials, and have strong writing, analytical, organizational, leadership and communication skills.
Relevant experience includes experience in connection with (1) mergers and acquisitions, (2) securities law compliance/capital markets, (3) venture capital, (4) private equity, and (5) corporate governance. More specifically, candidates should have some experience with the following:
- Serving in a junior associate or mid-level associate capacity with respect to merger and acquisition transactions,
- Serving in a junior associate or mid-level associate capacity with respect to venture capital investment transactions,
- Serving in a junior associate or mid-level associate capacity with respect to private equity investment/leveraged buy-out transactions,
- Reviewing and providing advice with respect to Forms 10-K, 10-Q and 8-K, as well as proxy statements,
- Providing advice on corporate governance matters,
- Serving in a junior associate or lead associate capacity with respect to public and/or private offerings of equity and debt securities.

Our attorneys have also served the needs of numerous industrial loan and thrift companies, and government entities.

Stinson LLP is seeking a results-oriented commercial litigation associate with 4 to 5 years of experience to join our Kansas City office.
Excellent writing, oral advocacy skills, and academics are required. Admission to the Missouri Bar is required. Clerkship and court experience are a plus. The successful candidate should have the following experience and skills:
– Significant responsibility for pleadings, motions, and briefing on complex matters;
– Proficiency handling e-discovery and fact development;
– The confidence to tackle complex fact, legal, and logistical issues with foresight; and
– The ability to be strategic and analytical.
The role requires a candidate with strong interpersonal skills, a high degree of maturity, a willingness to learn, and a desire to manage a challenging workload on work spanning high-stakes litigation, arbitration, and trial work in Missouri, across the U.S., and internationally.
